Terms & Conditions

2. Acceptance of Terms

By submitting an enquiry through our website, exchanging a written brief with us, or making payment for an Engagement, you agree to be bound by these Terms & Conditions. These terms apply to all Engagements. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement.

3. Service Description

Mossridge Bureau provides startup consulting services for early-stage founders. Our three Engagement types are described in full on our Solutions page. All Engagements are subject to availability. We reserve the right to decline an Engagement if we determine it is not a suitable fit for our practice.

We operate from Kuala Lumpur, Malaysia, and serve clients throughout Malaysia and, on occasion, internationally. Sessions may be conducted in person or by video call.

4. Engagement Process

  1. Client submits an enquiry via our contact form or by phone
  2. We exchange a written brief describing the client's situation
  3. We confirm the Engagement in writing and issue an invoice
  4. Payment is received before the Engagement begins
  5. The Engagement is conducted as agreed, with a written Deliverable to follow

5. Fees and Payment

Our fees are stated on our website and in any invoice issued:

All fees are in Malaysian Ringgit (MYR) and are payable by bank transfer before the Engagement begins. There are no additional charges beyond the stated fee unless agreed in writing before work commences.

6. Cancellation and Rescheduling

If you need to cancel or reschedule a session, please notify us at least 48 hours in advance. Sessions cancelled with less than 48 hours' notice may not be eligible for rescheduling without additional cost. We will endeavour to accommodate reasonable requests for rescheduling where notice is provided in good time.

If we need to cancel or reschedule, we will notify you as early as possible and offer an alternative time at no additional cost.

7. Refunds

Given the bespoke and time-intensive nature of our work, fees paid are generally non-refundable once an Engagement has commenced. If an Engagement has not yet commenced and you wish to withdraw, please contact us and we will consider a refund or credit at our discretion. If we are unable to complete an Engagement due to circumstances on our side, we will offer a proportional refund.

8. Confidentiality

We treat all information shared during an Engagement as confidential. We will not share details of your venture, your situation, or the content of our sessions with any third party without your explicit consent, except where required by Malaysian law. If you require a formal written confidentiality agreement before an Engagement begins, we will provide one on request.

You agree to keep confidential any unpublished methods, frameworks, or approaches we share with you during an Engagement.

9. Intellectual Property

Written Deliverables produced for you as part of an Engagement are for your use only. You may share them with co-founders or advisors in connection with your venture. You may not reproduce, publish, or commercialise them without our written permission. All other intellectual property of Mossridge Bureau, including our methods and website content, remains our property.

10. Nature of the Service

Our consulting services are advisory in nature. We do not make decisions on your behalf, take responsibility for outcomes arising from your decisions, or provide legal, financial, or accounting advice. Any information we provide should not be treated as a substitute for professional legal, financial, or accounting advice specific to your situation. Outcomes from our Engagements depend significantly on the actions you take following them.

11. Limitation of Liability

To the extent permitted by Malaysian law, Mossridge Bureau's liability for any claim arising from an Engagement is limited to the fee paid for that Engagement. We are not liable for indirect, consequential, or speculative losses, including lost profits or business opportunities. Nothing in these terms limits liability for fraud or personal injury caused by our negligence.

12. Indemnification

You agree to indemnify Mossridge Bureau against any claims, costs, or losses arising from your misuse of our Deliverables or your breach of these Terms & Conditions.

13. Termination

Either party may terminate an Engagement before it is complete if there is a material breach of these terms that is not remedied within 7 days of written notice. We reserve the right to end an Engagement if the working relationship becomes untenable. In such cases, we will provide a proportional refund for work not yet completed.

14. Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of Malaysia. Any disputes will first be addressed through good-faith discussion between the parties. If a dispute cannot be resolved informally within 30 days, it may be referred to mediation before any legal proceedings are commenced. The courts of Malaysia have non-exclusive jurisdiction over any proceedings.

16. Changes to These Terms

We may update these Terms & Conditions from time to time. The version in effect at the time of your Engagement applies to that Engagement. Updated terms apply to new Engagements from the date of publication.
